1. Agreement to terms

By accessing or using the RiskXchange platform, website, and services (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not access or use the Services.

2. Description of services

RiskXchange provides a cyber risk intelligence platform that helps organisations identify, analyse and mitigate cyber security risks across their business ecosystem. Our Services include security assessments, risk monitoring, vendor risk management, and related data analytics.

Some Services may require additional terms and conditions under our Master Services Agreement. In such cases, those additional terms will be provided to you and will form part of our agreement. In the event of any conflict between these Terms of Service and the terms of the Master Services Agreement, the terms of the Master Services Agreement will prevail with respect to the specific Services covered by it.

3. Account registration and security

To use certain features of the Services, you may need to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorised use of your account.

You must provide accurate, current and complete information during the registration process and keep your account information updated. We reserve the right to suspend or terminate your account if any information provided is inaccurate, outdated or incomplete.

4. Subscription and payment terms

Access to certain features of the Services may require a paid subscription. All subscription fees are billed in advance and are non-refundable. Subscription plans automatically renew unless cancelled at least 90 days before the end of the current billing period.

We reserve the right to change our subscription fees at any time, with any fee changes taking effect at the start of the next billing period. We will provide reasonable notice of any fee changes.

5. Use of the services

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services in any way that violates any applicable law or regulation.
• Attempt to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running the Services.
• Use the Services for any purpose that is harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene or otherwise objectionable.
• Conduct any automated data collection or scraping of the Services.
• Impersonate any person or entity or misrepresent your affiliation with a person or entity.

6. Intellectual property rights

The Services and their entire contents, features and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection and arrangement thereof) are owned by RiskXchange, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms do not grant you any right, title or interest in the Services or any content, features or functionality of the Services.

7. Data privacy

Our collection, use and disclosure of personal information in connection with the Services is governed by our Privacy Policy.

8. Limitation of liability

In no event will RiskXchange, its affiliates, or their licensors, service providers, employees, agents, officers or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, the Services, including any direct, indirect, special, incidental, consequential or punitive damages.

9. Indemnification

You agree to defend, indemnify, and hold harmless RiskXchange, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

10. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Governing law

These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions.

12. Changes to terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorised to use the Services.

13. Performance claims disclaimer

Any performance claims, cost reductions, risk mitigation percentages, time savings, or other quantitative benefits mentioned on the RiskXchange website, marketing materials or documentation are provided for illustrative and informational purposes only.

RiskXchange does not guarantee that any specific customer will achieve these exact results. Actual outcomes may vary significantly based on an individual organisation's unique circumstances, implementation, existing infrastructure and other factors.

All performance claims and case studies represent historical or hypothetical scenarios and are not a promise of future results. Customers should conduct their own due diligence and not rely solely on these representations when making business decisions.
